These Terms of Service ("Terms") govern your use of ShotPath, operated by Venerance LLC, a Kentucky limited liability company ("we," "us," or "our"). By accessing or using ShotPath, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using ShotPath, you agree to these Terms and our Privacy Policy. If you do not agree, do not use ShotPath.
2. Eligibility
You must be at least 18 years old to use ShotPath. By using the service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Account Registration
To use ShotPath, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Not share your account or credentials with others
You are responsible for all activity that occurs under your account.
4. The Service
ShotPath is an AI-powered filmmaking tool that helps you create screenplays, storyboards, and visual content. The service uses artificial intelligence provided by third parties (OpenAI, fal.ai) to generate content based on your inputs.
Service Availability
We strive to maintain reliable service but do not guarantee:
- Uninterrupted availability
- Error-free operation
- Specific uptime percentages
We may modify, suspend, or discontinue features at any time.
5. Acceptable Use
You agree NOT to use ShotPath to:
Prohibited Content
- Create, upload, or generate sexually explicit or pornographic content
- Create content depicting child sexual abuse material (CSAM) or exploitation of minors
- Create content promoting violence, terrorism, or hate speech
- Create content that is illegal under applicable law
- Infringe on intellectual property rights of others
- Create defamatory or libelous content
Prohibited Conduct
- Attempt to circumvent security measures or access restrictions
- Use automated tools to scrape or extract data
- Interfere with the service or other users' access
- Resell or redistribute the service without authorization
- Use the service to harm, harass, or defraud others
Content Guidelines
ShotPath is designed for creative filmmaking. We permit artful nudity in appropriate artistic contexts (e.g., classical art references, non-sexual figure studies). However, this is not a platform for adult content creation. We reserve the right to determine what constitutes acceptable content.
6. Content Ownership and License
Your Content
You retain ownership of content you create using ShotPath, including:
- Original text and screenplays you write
- Images you upload
- AI-generated content created from your prompts
License to Us
By using ShotPath, you grant us a limited license to:
- Store and display your content to you
- Process your content through AI services to provide features
- Create backups for service continuity
This license terminates when you delete your content or account.
AI-Generated Content
Content generated by AI is created based on your prompts using third-party AI services. You are responsible for:
- Reviewing AI-generated content before use
- Ensuring your use complies with applicable laws
- Not representing AI-generated content as human-created where disclosure is required
We make no guarantees about the accuracy, quality, or appropriateness of AI-generated content.
7. Payment Terms
Prepaid Model
ShotPath uses a prepaid credit system. You add funds to your account balance, which is consumed as you use paid features.
Pricing
Current pricing is displayed in the application. We may change pricing at any time; changes affect future purchases only.
Refund Policy
Prepaid funds are non-refundable. Your balance remains available until you use it or close your account.
In exceptional circumstances, we may consider refund requests at our sole discretion. Contact support@shotpath.io for assistance.
Billing Disputes
If you believe there is an error in your billing, contact us within 30 days at support@shotpath.io.
8. Account Termination
By You
You may close your account at any time. Upon closure:
- Your content will be deleted
- Unused prepaid balance will be forfeited
- Billing records will be retained as required by law
By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Create prohibited content
- Engage in fraudulent activity
- Fail to pay amounts owed
We reserve the right to terminate any account found to be creating objectionable or illegal content, with or without notice.
Effect of Termination
Upon termination:
- Your access to ShotPath ends immediately
- Your content may be deleted
- Provisions that should survive (liability, disputes, etc.) remain in effect
9. Intellectual Property
Our Property
ShotPath, including its design, features, and branding, is owned by Venerance LLC. You may not copy, modify, or distribute our intellectual property without permission.
Third-Party Content
AI models and services are provided by third parties (OpenAI, fal.ai) under their respective terms.
10. Disclaimers
"As Is" Service
ShotPath is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of AI outputs
AI Limitations
AI-generated content may be:
- Inaccurate or factually incorrect
- Inconsistent or unexpected
- Similar to existing works
You are solely responsible for reviewing and using AI-generated content.
11. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages arising from your use of AI-generated content
- Actions of third-party service providers
Our total liability for any claims arising from these Terms or your use of ShotPath is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
12. Indemnification
You agree to indemnify and hold harmless Venerance LLC and its officers, employees, and agents from any claims, damages, or expenses arising from:
- Your use of ShotPath
- Content you create or upload
- Your violation of these Terms
- Your violation of any third-party rights
13. Dispute Resolution
Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles.
Jurisdiction
Any disputes shall be resolved in the state or federal courts located in Jefferson County, Kentucky. You consent to the personal jurisdiction of these courts.
Informal Resolution
Before filing any claim, you agree to contact us at support@shotpath.io and attempt to resolve the dispute informally for at least 30 days.
14. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Venerance LLC regarding ShotPath.
Severability
If any provision is found unenforceable, the remaining provisions continue in effect.
Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
Assignment
You may not assign these Terms. We may assign our rights to a successor or affiliate.
Notices
We may send notices to the email address associated with your account. You may contact us at support@shotpath.io.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting updated Terms with a new "Last Updated" date
- Sending email notification for significant changes
Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using ShotPath.
